Expert Guidance for Selling Your Business
Selling your business is a significant decision that requires careful planning and expert assistance. Whether you’re looking to sell an industrial business or find a merger partner or investor, having a dedicated team like Gentry Company by your side is crucial to achieving a successful sale. Let us guide you through each phase to ensure a smooth and profitable transition.
Initial Meeting
The first step in our process to sell your industrial business involves a meeting to understand the history of your company, the reasons you're exploring a sale, and your objectives and expectations. This sets the foundation for a successful partnership as we move forward with your goals in mind.

Conducting a Preliminary Business Assessment
Next, we perform a thorough review of your business’s financials and other key data. This step includes follow-up discussions to help us develop a Preliminary Business Assessment. We will also determine a likely selling price for your business and formulate a strategic marketing plan.
Negotiating the Listing Agreement
We then establish an Exclusive Listing Agreement, which defines the fee structure and our mutual obligations. Most of our fees are contingent on the successful sale of your business, ensuring that our success is tied to achieving your goals.

Developing a Comprehensive Marketing Package
Once the agreement is in place, we focus on the preparation of a marketing package. This includes creating a Blind Profile for public distribution and a detailed Confidential Memorandum, which will be shared with serious, qualified buyers. The Confidential Memorandum will clearly highlight the value of your business to help attract the right interest.
Launching Your Targeted Marketing Campaign
Our marketing campaign kicks off by distributing the Blind Profile to our database and business brokers. We also share with strategic buyers and private equity firms with a proven interest in your space. Additionally, your listing may be published on platforms such as TABB and IBBA, depending on confidentiality concerns. We also use more confidential search sites such as Axial to attract qualified buyers.

Managing Buyers’ Questions and Discussions
We manage all initial buyer questions, engaging in discussions to determine if it makes sense to move forward. For qualified buyers, we will secure a signed Non-Disclosure Agreement and gather additional details about their interest. With your approval, we will reveal your company’s identity to the interested buyer. If the buyer maintains a strong interest, we will share the Confidential Information Memorandum and answer any questions. If they continue to show strong interest, we will arrange an initial meeting, typically via phone or Zoom, and participate in all subsequent meetings between you and the buyer.
Reviewing Offers and Negotiating Terms
When we receive offers, our team works with you to ensure clarity on price, terms, and timing. We leverage our experience to provide suggestions, counteroffers, and support, collaborating with your legal, financial, and accounting advisors to maximize the sale's success.

Coordinating the Due Diligence Phase
During the due diligence phase, we assist in coordinating information requests from the buyer and their consultants, including attorneys, accountants, and lenders. Our goal is to ensure the process is efficient and transparent for both parties.
Finalizing the Sale at Closing
Finally, we work closely with the attorneys or independent closing agents involved to ensure that all necessary documents and exhibits are ready for the closing. This step ensures that the sale is finalized smoothly, and all legal requirements are met. Our step-by-step process ensures that every aspect of the sale is handled with professionalism, from initial discussions to the final closing.
